The Firm has an extensive securities law practice representing corporate clients, broker/dealers, underwriters and public investors in public and private financing, ranging from venture capital transactions to underwritten public offerings and the full range of securities and corporate litigation and regulatory controversy matters. Individual lawyers in the firm have been involved in all aspects of mergers, acquisitions, divestitures, contests for corporate control, various forms of issuances of securities, and general corporate and securities law matters. They have significant expertise in representing clients in structuring and handling financial transactions, including representation of both lenders and borrowers in matters such as new bank stock loans, oil and gas loans, computer financing, financing leases, leveraged buyouts, letters of credit, work outs, and restructuring of lending arrangements.

The Firm represents clients involved in a wide variety of local, state, national, and international transactions involving individual and large institutional domestic and international developers and investors as well as domestic and foreign banks, savings and loan associations, mortgage bankers, real estate investment trusts, other institutional investors, and foreign governments. Attorneys of the Firm have substantial experience in major and complex real property acquisitions, sales and exchanges, development activities including planning and zoning, environmental quality, special district and local property taxes, construction contracts, space and land leasing, and professional real estate service contracts for architects, engineers, brokers, and related real estate industry services. Their experience covers real estate regulatory work including regulatory compliance and registrations under local laws, real estate subdivisions map, and disclosure sales laws of various states as well as the Federal Interstate Land Sales Disclosure Act. The Firm has an extensive practice in national and international major resort and recreational development including hotel development, financing and operational matters, structuring and documentation of master planned destination resorts with all component parts, including master and sub-owner associations, golf clubs, tennis clubs, equestrian clubs, beach clubs, condominium and condominium securities offerings, timesharing, campground and mobile home park matters, and marina developments.

The practice of the litigation section covers the full spectrum of business and commercial litigation in such areas as securities, real estate, oil and gas, antitrust, unfair competition, infringement, entertainment, insurance and reinsurance, surety and fidelity bonding, products liability, and the entire gamut of contractual disputes. The Firm provides tax planning advice and litigation services to corporations, partnerships, banks, individuals, estates, and trusts. A significant part of the tax practice involves the design and implementation of special tax sensitive structures and techniques in connection with the implementation of significant business strategies. The tax aspects of bankruptcy, divorce, and entertainment-related matters and business succession are covered. The Firm represents clients in controversies against the I.R.S. in the Tax Court, the Court of Claims, and United States District Courts. Members of the Tax section also provide estate planning advice for individuals with large as well as modest estates, develop employee compensation packages for corporate clients, and supervise the administration of probate proceedings.
