Mr. Metzger's practice is concentrated in securities, corporate finance and general corporate commercial practice, including registration statements and general securities law, tender offers and takeovers, exchange offers, mergers, acquisitions and dispositions, leveraged buyouts, reorganizations, debt restructuring, class action securities litigation, partnerships, joint ventures and syndications, private placements, and compliance under the Securities Exchange Act of 1934. Mr. Metzger also has expertise in banking, savings and loans, and other financial institutions, representing institutions in regulatory matters and representing both lenders and borrowers in matters including new bank stock loans, asset land loans, securities loans, securitized financing, oil and gas loans, letters of credit matters, bankers' acceptances, loan aggregation matters, industrial revenue bond financing, receivable and inventory loans, workouts and restructurings of a number of lending arrangements for small and large institutions. Additionally, Mr. Metzger has expertise in bankruptcy matters, representing financial institutions as creditors and independent third-party plan proponents; and he is fully trained and certified as a mediator.
